Vernier Networks Names Two New Senior Management Personnel

MOUNTAIN VIEW, Calif. -- June 28, 2004 -- Vernier Networks(R), an emerging leader of adaptive security products, today announced that Simon Khalaf has joined the company as president and chief executive officer. In addition, Bethany Mayer has been appointed vice president of marketing.

Khalaf brings to Vernier more than15 years of experience successfully founding, launching and leading companies. Before joining the company, Khalaf led Connectus Management Group, a management consulting firm in the IT security space. Previously, he was president of Volera Corp. where he launched the company's content delivery and security initiatives and positioned the company as the major player in its industry.

In 1999, Khalaf founded JustOn Inc., a provider of Internet application hosting services, and served as its president and CEO. After JustOn was acquired by Novell Inc., he became vice president and general manager of Novell's net content business unit. In 1992, Khalaf co-founded Worldtalk Corp., an Internet security company that developed e-mail and content security solutions. Worldtalk's products captured an early lead in the e-mail security market, which led to its Initial Public Offering in 1996 followed by an acquisition by Tumbleweed Communications (Nasdaq:TMWD) late in 1999. Earlier in his career, Khalaf held several management roles at leading networking and IT infrastructure companies.

In addition to Khalaf, Bethany Mayer joins Vernier as vice president of marketing. Mayer brings 20 years of experience in leading product management, marketing communications, engineering and operations in both early stage start-up companies and Fortune 500 corporations. Prior to joining Vernier, Mayer served as vice president of product marketing for four years with SkyStream Networks, where she was responsible for directing marketing strategies and driving technology initiatives. Previously, she served in the Office of the CTO for Cisco Systems, developing the company's technology vision. Over her seven year tenure with Cisco, Mayer led marketing efforts for products tailored for the consumer, small business and dial access environment, in addition to developing the company's early supply chain management strategy. Earlier in her career, Mayer held positions at Apple and Lockheed Martin.
